Distribution Agreement

1. Purpose
The purpose of this Agreement is to grant hitz.me the right to host, distribute, and promote the Partner’s licensed content within the Platform.
hitz.me acts solely as a distribution and community platform, not as a publisher.
All content shared under this Agreement remains the property of the Partner.
2. Rights Granted
The Partner grants hitz.me a non‑exclusive, worldwide, royalty‑based license to:
- Host, stream, and publicly display the content on hitz.me;
- Promote and include the content in playlists, recommendations, and search results;
- Use metadata, artwork, and titles for informational and promotional purposes;
- Adapt content technically (bitrate, file format, or compression) without altering creative substance.
3. Ownership
All intellectual property rights in the content remain with the Partner.
Nothing in this Agreement transfers ownership or copyright to hitz.me.
4. Content Categories
All media on hitz.me is divided into three categories:
- Official Licensed Content – provided by Partners under this Agreement and eligible for monetization and promotion.
- User‑Generated Content (UGC) – uploaded independently by users without distribution rights; hitz.me is not responsible for its legality.
- Third‑Party / Plugin‑Based Content – sourced through external APIs or community extensions; governed by the Developer Policy.
hitz.me assumes no liability for user‑generated or plugin‑based content.
5. Revenue and Payments
Revenue generated from monetization (ads, streams, or other commercial uses) shall be distributed as follows:
- 60% to the Partner (right holder or distributor);
- 40% to hitz.me for platform operation, promotion, and infrastructure costs;
- Up to 10% of hitz.me’s share may be allocated as rewards to playlist creators or curators at the Platform’s discretion.
All settlements are made in USD via secure payment methods.
Reports are issued monthly, and payments are made within ten (10) business days after approval.
6. Partner Responsibilities
The Partner represents and warrants that:
- It owns or controls all rights to the submitted content;
- The content does not infringe any third‑party rights;
- All metadata and ownership information provided are accurate.
The Partner indemnifies hitz.me against any claims arising from breach of these warranties.
7. Platform Rights and Moderation
hitz.me reserves the right to:
- Refuse or remove content that violates laws or community standards;
- Suspend or limit visibility of content based on quality or copyright concerns;
- Notify the Partner of any takedown requests or copyright complaints (where feasible).
hitz.me may temporarily suspend access to disputed content pending resolution.
8. Term and Renewal
This Agreement shall remain in effect for three (3) years from the date of content submission.
It will automatically renew for successive one‑year periods unless either party provides written notice of termination at least 90 days prior to the renewal date.
9. Termination
Either party may terminate this Agreement by written notice in case of material breach, subject to a 30‑day cure period.
Upon termination, hitz.me will remove the Partner’s content from public access, except for archived or cached copies required for legal or technical reasons.
10. Limitation of Liability
hitz.me shall not be liable for:
- Any indirect, incidental, or consequential damages;
- Loss of data or profits;
- Acts or omissions of users, developers, or third parties.
The Platform’s maximum aggregate liability shall not exceed the total amount paid to the Partner in the six (6) months preceding the claim.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Country of Incorporation.
